Status
Confirmed from Tesla's and SpaceX's quarterly reports filed with the Securities and Exchange Commission for the quarter ended Sept. 30, 2026. Neither filing states a price, a date, or an agreement to combine.
- ConfirmedBoth boards have formed special committees. SpaceX's is evaluating a potential combination. Tesla's is exploring a deeper tie that could include one.
- ConfirmedBoth filings say there is no assurance a deal will be made. No terms are stated.
Tesla and SpaceX each told shareholders this week that their boards have formed special committees to look at combining the companies. Neither filing names a price, a date, or the people on the committees, and both say a deal may never happen.1
SpaceX's quarterly report says that, as announced on its earnings call on Oct. 20, 2026, its board formed a special committee to evaluate a potential combination with Tesla. It says Tesla's board has also formed a special committee. No determination has been made. Any combination would need further approval from SpaceX's committee, its board, and its controlling shareholder. The report says there can be no assurance an agreement will be reached or a transaction finished.1
Tesla's quarterly report, in the section on other information, says its board formed a special committee of disinterested directors to explore deepening Tesla's relationship with SpaceX, which could include a business combination. It says there could be merits to a deal, and that there is no assurance one will be completed. A deal would need the committee's recommendation and, if one is agreed, any necessary shareholder approval.2
Why it matters (Estimate). Two of the largest companies associated with the same controlling shareholder are now formally studying whether to become one company. If they did, Tesla shareholders would have to approve it, on Tesla's own account. The filings are the first documents in which both boards say the committees exist. They are not a merger agreement, and a shareholder does not yet have a price or a vote to cast.
The two reports do not name advisers, a timetable, or an exchange ratio. They do not say shareholders have been asked to vote.
