The EDGAR index lists the as filed and accepted on October 26, 2026, file number 333-299633.
  • Partially confirmed
The cover says the shares may not be sold until the registration statement is effective. The price range and the number of shares are blank.
Dario Amodei is the chief executive and Daniela Amodei is the president of Anthropic, which on Monday asked the Securities and Exchange Commission for a chance to sell shares of Class A common stock to the public. The cover of the still prints the price as a blank between two dollar signs, and the registration statement is not yet effective.1
Anthropic, PBC filed that registration statement on October 26, 2026. A is the form a company files to go public, which means to sell shares to ordinary buyers. Filing it asks for that chance. It is not the sale, and the shares may not be sold until the registration statement is effective. The company says it has asked to list the Class A common stock on the Nasdaq Global Select Market under the symbol ANT. Dario Amodei is the chief executive and a director, and Daniela Amodei is the president and the chair of the board. A single share of Class F common stock, the filing says, would go to a company the co-founders organize and would carry 50.1% of the vote on ordinary stockholder matters.2
The same filing prints the company's results. Revenue for the six months ended June 30, 2026 was $16,286 million. The net loss for that period was $80,748 million. A note in the filing says the change in value of convertible notes and related contracts was $72.4 billion over those six months, and that the change was driven mainly by a higher recorded value for the notes. Convertible notes are debt that can later turn into stock.3
Why it matters (Estimate). Estimate. An AI lab of this scale is asking ordinary buyers for capital: $16,286 million of revenue in six months, and a loss of $80,748 million that is mostly the accounting change the filing describes, not a cash loss of that size. The blank price means the raise itself has no size yet, and until the registration statement becomes effective a reader cannot buy these shares. If a sale later happens, the filing says the founders' special share would still hold 50.1% of the vote on ordinary matters, so a purchased share would not come with an equal say.
A blank on the cover, between two dollar signs, means the company has not named a price or a number of shares. The company's announcement the same day says the number of shares and the price range have not yet been determined. Goldman Sachs & Co. LLC and Morgan Stanley & Co. LLC are named as representatives of the underwriters. Underwriters are the firms that handle the sale. The cover also prints J.P. Morgan on that line. The San Francisco office phone in the filing is (415) 326-6303.
